1. Agreement to Terms

By accessing or using ResellerAI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms apply to all users of the Service, including beta participants, paid subscribers, and visitors to our website.

2. Description of Service

ResellerAI provides AI-powered automation tools for online resellers, including:

• Automated eBay Best Offer management (accept, counter, decline)
• AI-powered buyer message responses
• Inventory and platform sync tools
• Analytics and reporting dashboards

The Service operates through eBay's official developer API and other approved integrations. All automated actions are performed using credentials and rules you configure.

3. Beta Program

During the beta period, the Service is provided free of charge or at a discounted rate. Beta access is:

• Limited to invited users on the waitlist
• Subject to change or termination without notice
• Provided "as-is" — we make no guarantees of uptime or feature availability during beta

Beta users may receive permanent pricing discounts as a thank-you for their early support and feedback.

4. Your Responsibilities

By using ResellerAI, you agree to:

• Use the Service only in compliance with eBay's Terms of Service and API policies
• Provide accurate information when creating your account
• Keep your account credentials secure and not share them with others
• Not use the Service to engage in fraud, deception, or illegal activity
• Not attempt to reverse engineer, scrape, or disrupt the Service
• Monitor automated actions and take responsibility for all transactions made on your behalf

You are responsible for all activity that occurs under your account, including automated actions taken by ResellerAI on your behalf.

5. eBay Platform Compliance

ResellerAI uses eBay's official developer API. You acknowledge that:

• You must have a valid eBay seller account in good standing
• Automated offer management through official APIs complies with eBay's policies
• You retain full responsibility for your eBay account and any actions taken on it
• ResellerAI is not affiliated with, endorsed by, or an official partner of eBay Inc.

If eBay changes their policies in a way that affects ResellerAI's operation, we will notify you promptly and may need to modify or suspend certain features.

6. Subscription and Billing

For paid plans:

• Subscriptions are billed monthly in advance via Stripe
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months
• We reserve the right to change pricing with 30 days' notice
• Founding member pricing (if offered) is locked in for the lifetime of your subscription as long as it remains active

7. Limitation of Liability

ResellerAI is a tool that assists with offer management. We are not responsible for:

• Offers accepted, countered, or declined by the automated system in accordance with your configured rules
• Revenue impacts resulting from automated decisions you configured
• eBay account actions or policy enforcement by eBay
• Loss of sales, data, or revenue during service outages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESELLERAI'S LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 30 DAYS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or that automated actions will produce specific revenue results. AI responses are generated automatically and may occasionally be imperfect.

9. Termination

Either party may terminate the service relationship at any time:

• You: Cancel your subscription anytime via the billing portal
• Us: We may suspend or terminate accounts that violate these terms, at our discretion

Upon termination, your access to the Service will end at the close of the current billing period (for paid accounts) or immediately (for ToS violations).

10. Intellectual Property

ResellerAI and its original content, features, and functionality are owned by ResellerAI and protected by copyright law. You may not copy, modify, or distribute the Service without written permission.

Your data (offer history, settings, etc.) remains yours. We process it only to provide the Service.

11. Changes to Terms

We may update these terms as the product evolves. We'll notify users by email for material changes with at least 14 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions.
